About Toku and the role
Toku is a leading global solution for token compensation and tax compliance for the blockchain/crypto industry. Toku partners with best-in-class law firms like Cooley, Orrick, Goodwin, and Fenwick to implement crypto companies’ token incentive plans and ensure they are compliant in every jurisdiction they have a presence in. Toku works with companies at the earliest stages to ensure a tax-efficient and seamless token generation event to mature L1’s and L2’s like Polygon to manage their RTU plan integrated with fiat payroll and employment. Toku’s General Counsel will work closely with the cofounders and CEO to become one of the most critical infrastructure providers for the crypto industry that enables tokens to be seamlessly integrated into everyday compensation. Key ResponsibilitiesDrive partnerships with law firms to become the go to partner/source of knowledge for token grants, token incentive plans, token grant administration.Provide guidance and insight in conversations with law firms, tax firms, prospective clients and address client queries.Attend industry events, join panels, and build relationships with key clients and partners to be the go-to expert around token compensation.Drive webinars in partnership with law firms to educate the industry and drive engagement with Toku.Create and write thought leadership/educational content about Toku’s products and services, other relevant topics.Provide legal guidance for new product expansions in various jurisdictions.Assist the Product team with regulatory research for new markets and products, especially concerning token salary and grant payments.Ensure new products comply with privacy and data security laws, implementing appropriate measures.Keep the Product team informed about industry trends and regulatory changes impacting product development.Stay current with U.S. and international laws and regulations regarding tokens and cryptocurrency, including securities, tax, money transmitter, and anti-money laundering laws.Take on Compliance Officer duties, which includes leading U.S. licensing efforts (e.g., MTL licensing) and compliance in other jurisdictions.Contract Management: Draft, review, and redline contracts such as employment, service, and sales agreements.Advise on intellectual property and data protection matters for both internal and client needs.Advise on corporate governance matters and draft necessary documents to ensure legal compliance.Qualifications2-4 years as a General Counsel, Associate GC for a venture-backed startup, or at least 7 years big law experience.Experience in handling legal and regulatory matters related to equities, and/or tokens and cryptocurrencyKnowledge of U.S. securities, tax, and global compensations and benefits.Strong contract drafting, reviewing, and redlining skills.Excellent written communication skills, with the ability to produce thought leadership content.Strong interpersonal skills for building relationships with clients and partners.Apply for this job
